Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Meme Works (the "Service"), operated by Meme Works ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

Meme Works is an AI-powered tool that helps users generate memes from text, images, or prompts. Some features are available on a free tier; additional features and usage limits are available through paid subscription plans.

3. Eligibility & Accounts

You must be at least 13 years old to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly at hello@memeworks.co if you suspect unauthorized use of your account.

4. Subscriptions & Billing

• Paid plans are billed on a recurring basis (monthly or annually, as selected at checkout) through Stripe.
• By subscribing, you authorize us to charge your chosen payment method through Stripe on a recurring basis until you cancel.
• You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period, and you will retain access to paid features through that period.
• Except where required by law, payments are non-refundable. We may offer refunds at our discretion on a case-by-case basis.
• We may change subscription pricing with advance notice; continued use after a price change constitutes acceptance of the new pricing.

5. Acceptable Use

You agree not to use the Service to:

• Generate content that is unlawful, defamatory, harassing, threatening, or that infringes on the rights of others
• Upload or submit content you do not have the legal right to use
• Generate memes intended to impersonate real individuals in a misleading or harmful way
• Attempt to circumvent usage limits, rate limits, or subscription tier restrictions
• Reverse engineer, scrape, or interfere with the Service's underlying systems
• Use the Service to generate spam, malware, or content intended to deceive or defraud others

We reserve the right to suspend or terminate accounts that violate these terms, at our discretion.

6. Content & Intellectual Property

Your Input. You retain ownership of any text, images, or prompts you submit to the Service. By submitting content, you grant us a limited license to process that content solely to provide the Service to you (for example, sending it to third-party AI processing to generate your meme).

Generated Output. Subject to your compliance with these Terms, you own the memes you generate through the Service and may use them for personal or commercial purposes. We do not claim ownership over your generated content.

Our Property. The Service itself — including its design, software, branding, and underlying technology — is owned by Meme Works and protected by applicable intellectual property laws. These Terms do not grant you any rights to our branding, trademarks, or source code.

Third-Party Rights. You are solely responsible for ensuring that content you upload or generate does not infringe on third-party copyrights, trademarks, or other rights (for example, using copyrighted characters or trademarked material in ways that exceed fair use).

7. Service Availability

We aim to keep the Service available and reliable but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or factors outside our control. We are not liable for losses resulting from downtime.

8. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. AI-generated output may occasionally be inaccurate, unexpected, or unsuitable for your intended use, and we make no guarantee regarding the quality or appropriateness of generated content.

9. Limitation of Liability

To the maximum extent permitted by law, Meme Works and its operators will not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service if you violate these Terms or engage in conduct that we reasonably believe is harmful to the Service, other users, or third parties.

11. Changes to These Terms

We may update these Terms from time to time. We will notify users of material changes via email or an in-app notice. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of the State of Oklahoma, without regard to conflict-of-law principles, unless otherwise required by applicable law.
